These Terms of Service (“Terms”) govern your access to and use of the Kidney Companion mobile application, website, and related services (collectively, “Kidney Companion” or the “Service”), which are operated by AGZ Ventures LLC (“AGZ Ventures,” “we,” “us,” or “our”).
1. Acceptance of These Terms
By accessing or using Kidney Companion, creating an account, or purchasing a subscription, you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use the Service.
2. Eligibility and Age Requirements
You must be at least 13 years old to use Kidney Companion. Individuals under 13 may not create an account, use the Service, or submit personal or health-related information through Kidney Companion.
Users ages 13 through 17 may use Kidney Companion. During onboarding, users identified as being under 18 may be shown an age-related notice encouraging them to review Kidney Companion and health-related decisions with a parent or legal guardian and a qualified healthcare professional before continuing.
If applicable law in your jurisdiction requires additional consent, authorization, or a higher minimum age to use the Service, you may use Kidney Companion only in accordance with those requirements.
3. Informational and Nutritional Support Only
Kidney Companion is an informational and nutritional support tool. It is not a medical device and is not intended to diagnose, treat, cure, prevent, monitor, or mitigate any disease or medical condition.
Kidney Companion does not provide medical diagnosis, treatment, prescriptions, or individualized medical advice and does not create a physician-patient, dietitian-patient, or other healthcare-provider relationship.
You should consult a physician, nephrologist, registered dietitian, pharmacist, or other qualified healthcare professional before making medical, dietary, medication, or treatment decisions. Do not disregard professional medical advice or delay seeking care because of information provided by Kidney Companion.
4. Emergencies
Kidney Companion is not an emergency service. If you believe you are experiencing a medical emergency, contact appropriate emergency medical services or seek immediate professional medical care.
5. Nutrition Information and User Responsibility
Nutrition information can vary based on brand, ingredients, preparation method, serving size, portion estimates, restaurant recipes, manufacturer changes, data sources, and other factors. Information provided by Kidney Companion may therefore be incomplete, outdated, or inaccurate.
You are responsible for reviewing food labels, ingredient lists, serving sizes, and other authoritative information when accuracy matters to your health. Nutrient targets and dietary restrictions should be established with your healthcare team. Kidney Companion does not guarantee that any nutrition estimate, nutrient target, food classification, or recommendation is appropriate for your individual medical condition.
6. Artificial Intelligence and Automated Features
Kidney Companion may use artificial-intelligence and other automated systems to analyze food names, descriptions, photographs, serving sizes, and related information and to generate nutrition estimates, explanations, or other outputs.
Artificial-intelligence systems can make mistakes. They may misidentify foods, ingredients, quantities, serving sizes, preparation methods, or nutrient values. AI-generated output may be incomplete, inaccurate, or inappropriate for your circumstances and should not be relied upon as the sole basis for a medical, dietary, or treatment decision.
You should independently verify important information and consult a qualified healthcare professional when making decisions that may affect your health.
7. Accounts and Account Security
Certain features may require an account. You agree to provide accurate information and to keep your account information reasonably current. You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.

8. Acceptable Use
You may use Kidney Companion only for lawful purposes and in accordance with these Terms. You may not:
- Attempt to gain unauthorized access to the Service, another user's account, or systems connected to Kidney Companion.
- Interfere with, disrupt, damage, disable, or place an unreasonable burden on the Service.
- Reverse engineer, decompile, disassemble, or attempt to derive source code except to the extent such restriction is prohibited by applicable law.
- Use automated systems to scrape, harvest, or extract data from the Service without our permission.
- Upload malicious code or use the Service to distribute unlawful, infringing, fraudulent, or harmful material.
- Misrepresent your identity or use another person's account without authorization.
- Use Kidney Companion in a manner that violates applicable law or the rights of another person.
9. User-Submitted Content
You may submit information such as food descriptions, photographs, survey responses, support messages, and other content (“User Content”). You retain any ownership rights you have in your User Content.
You grant AGZ Ventures LLC a limited, non-exclusive, worldwide license to host, process, transmit, reproduce, and otherwise use User Content only as reasonably necessary to provide, maintain, secure, and improve the Service and to comply with applicable law, subject to our Privacy Policy.
You represent that you have the right to submit your User Content and that doing so does not violate another person's rights or applicable law. Do not submit content containing another person's sensitive information unless you have the right and appropriate permission to do so.
10. Third-Party Services and Data Sources
Kidney Companion may rely on third-party services, platforms, databases, and technology providers, including services used for hosting, authentication, artificial intelligence, nutrition information, app distribution, and payments. These may include Supabase, OpenAI, USDA FoodData Central, Apple, and Google.
Third-party services may be governed by their own terms and privacy policies. We are not responsible for third-party services that operate independently from AGZ Ventures LLC. Our use of third-party providers and handling of personal information are further described in our Privacy Policy.
11. Paid Features and Subscriptions
Kidney Companion is currently available without a paid subscription. We may introduce optional paid subscriptions or other paid features in the future.
Before you purchase any paid feature, we will disclose the applicable price, billing period, renewal terms, trial terms (if any), and other material purchase conditions.
Purchases made through the Apple App Store, Google Play, or another authorized platform will be processed by the applicable platform and will also be subject to that platform's payment, renewal, cancellation, and refund policies.
If we introduce automatically renewing subscriptions, you will be able to manage or cancel them through the applicable Apple or Google account settings, as applicable. We may update these Terms when paid subscription features become available.
Free Usage Limits
Certain Kidney Companion features may be offered without charge but may be subject to usage limits, including limits on the number of food-image analyses and text-based AI analyses available during a particular period.
Free usage limits may change from time to time based on service costs, capacity, product changes, abuse prevention, or other operational or business considerations. We may increase, reduce, modify, or discontinue free usage allowances, including in connection with the introduction of paid plans or subscriptions.
Where reasonably practicable, we will provide notice of material reductions in free usage limits.
12. Account Deletion and Termination
You may request deletion of your Kidney Companion account using the account-deletion functionality available in the Service or through our Delete Account page.
We may suspend or terminate access to the Service if we reasonably believe you have violated these Terms, used the Service unlawfully, created a security risk, or engaged in conduct that could harm Kidney Companion, AGZ Ventures LLC, our users, or third parties.
Sections that by their nature should survive termination, including provisions concerning intellectual property, disclaimers, limitations of liability, and governing law, will survive termination of these Terms.
13. Intellectual Property
Kidney Companion and its software, design, text, graphics, logos, trademarks, interfaces, databases, and other materials provided by AGZ Ventures LLC are owned by or licensed to AGZ Ventures LLC and are protected by applicable intellectual-property laws.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use Kidney Companion for your own lawful purposes. No ownership rights in Kidney Companion or AGZ Ventures LLC intellectual property are transferred to you.
14. Privacy
Our Privacy Policy explains how we collect, use, share, retain, and protect personal information and describes choices available to users. By using Kidney Companion, you acknowledge that your information will be handled as described in the Privacy Policy.
15. Availability and Changes to the Service
We may add, remove, modify, suspend, or discontinue features or portions of the Service as Kidney Companion evolves. We do not guarantee that the Service or any particular feature will always be available, uninterrupted, secure, or error-free.
We may release updates that are necessary for security, functionality, legal compliance, or compatibility. Certain features may stop working if you do not install required updates.
16. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KIDNEY BUDDY IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
AGZ VENTURES LLC DOES NOT WARRANT THAT THE SERVICE, NUTRITION INFORMATION, ARTIFICIAL-INTELLIGENCE OUTPUTS, FOOD IDENTIFICATION, NUTRIENT ESTIMATES, OR OTHER CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR ANY PARTICULAR MEDICAL CONDITION OR PURPOSE.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AGZ VENTURES LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, KIDNEY BUDDY.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF AGZ VENTURES LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO AGZ VENTURES LLC FOR KIDNEY BUDDY THROUGH THE APPLICABLE APP STORE OR PAYMENT PROVIDER DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
18. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent that applicable law requires otherwise.
19. Changes to These Terms
We may update these Terms as Kidney Companion, our business, or applicable requirements change. When we do, we will revise the “Last updated” date above and provide additional notice where required by law.
Your continued use of Kidney Companion after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law. If you do not agree to updated Terms, you should stop using the Service.
20. General Terms
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. Our failure to enforce a provision is not a waiver of our right to do so later.
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law, subject to applicable law.
These Terms, together with the Privacy Policy and any additional terms presented to you for specific features or purchases, constitute the agreement between you and AGZ Ventures LLC concerning the Service.
